Features may evolve over time, and we reserve the right to modify, suspend, or discontinue any part of the Services at any time.

We do not guarantee that any specific business outcome, performance increase, revenue result, or operational efficiency will be achieved through use of the Services.

By providing payment information, you authorize us to charge applicable fees on a recurring basis until cancellation. All payments are non-refundable unless otherwise stated in writing.

We may change pricing or introduce new fees with reasonable notice. Continued use of paid Services after such changes constitutes acceptance.

6. Free Trials & Promotional Access

We may offer free trials or promotional access at our discretion. Trial access may be limited in functionality and duration and may be revoked at any time without notice.

At the end of a trial, your access may be downgraded, suspended, or converted to a paid subscription if payment details are provided.

7. Intellectual Property Rights

All content, software, trademarks, logos, designs, text, graphics, and intellectual property associated with Vertex Ops are owned by or licensed to Vertex Media & Commerce LLC.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your internal business purposes in accordance with these Terms.

No rights are granted except as expressly stated.

8. User Content & Data

You retain ownership of data, files, and content you submit or upload to the Services (“User Content”). By using the Services, you grant us a limited license to host, process, transmit, and display User Content solely for the purpose of providing the Services.

You represent that you have all necessary rights to submit User Content and that it does not infringe any third-party rights.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR REQUIREMENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERTEX MEDIA & COMMERCE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vertex Media & Commerce LLC, its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms.

Upon termination, your right to use the Services will immediately cease, and we may delete or disable access to your account and data in accordance with applicable law.

15. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

You agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Wyoming.

16. Changes to These Terms

We may update these Terms from time to time. Changes will be effective upon posting on the website. Continued use of the Services after changes constitutes acceptance of the revised Terms.

17. Entire Agreement

These Terms constitute the entire agreement between you and Vertex Media & Commerce LLC regarding the Services and supersede all prior or contemporaneous agreements.
